Vicki Byrnes focuses her practice on business law, real estate law, commercial and real estate transactions, mergers and acquisitions and creditor-debtor relations.
Vicki advises clients on a wide variety of corporate, merger and acquisition, finance, contract, real estate and general business legal matters. Her clients range from entrepreneurs to large and mid-size privately-held companies.
Known for her pragmatic approach, Ms. Byrnes advises businesses on corporate structure, formation and governance and the legal relationships among the owners. She formulates appropriate corporate documents and shareholder or buy-sell agreements. She advises and documents the relationships between the business entity and its principals, employees or contractors regarding non-competition and protection of trade secrets.
Vicki represents both buyers and sellers of businesses by negotiating and drafting purchase and sale agreements and the necessary ancillary documents, by conducting due diligence activities and then by managing the often complex closing for these transactions. Either in connection with merger and acquisition transactions, or when businesses experience growth or downturns, Vicki advises clients on debt/equity financing, restructures or workouts with the lenders or investors of the businesses.
Ms. Byrnes’ transactional work also concerns real estate and contractual arrangements. Particularly, Vicki advises the firm’s clients on the acquisition, leasing, financing, operations and sale of real property. Additionally, she drafts the necessary documentation in connection with these transactions and conducts the closing on behalf of the client. Her real estate expertise extends to representation of the tenants and property owners in business lease negotiations, drafting and dispute resolution. She also advises clients and negotiates and drafts documents with respect to contracts of various types including distribution, supplier and service agreements.
Prior to joining the firm, Ms. Byrnes served as general counsel for several privately held companies.
